word-break: break-all;">（2）运营规模</p><p style="text-align: left; text-indent: 28pt; text-autospace: ideograph-numeric; word-break: break-all;">屏南旅游集散中心占地面积34790平方米，建筑基底面积19297.3平方米，地上总建筑面积35940.6方米，建成6栋建筑物，地面停车位137个, 配套道路工程、绿化工程、雨污管网工程、消防工程、道路照明、管线综合基础设施等相关资产。</p><p style="text-align: left; text-indent: 28pt; text-autospace: ideograph-numeric; word-break: break-all;">（3）资产内容</p><p style="text-align: left; text-indent: 28pt; text-autospace: ideograph-numeric; word-break: break-all;">项目资产主要包括主体建筑、内部服务设施及停车场，在功能上旅游服务中心集游客集散、旅游信息服务、服务信息反馈等多种功能于一体。</p><p style="text-align: left; text-indent: 28pt; text-autospace: ideograph-numeric; word-break: break-all;">A.旅游集散中心：它是旅游中心项目的核心，以交通为基本要素，以旅游线路和班车为基本手段，是实现旅行者出游和以人流带动资金流、信息流，实现旅游中心聚集辐射作用的基本功能载体。</p><p style="text-align: left; text-indent: 28pt; text-autospace: ideograph-numeric; word-break: break-all;">B.旅游交易推广中心：以旅行社批发业务为主，批零兼营的集中交易场所，成为古峰镇的旅游批发与零售中心。拟引进国际国内知名旅游企业，促进旅游批发与零售业务有效开展；提供旅游展示平台与场所推介旅游线路等相关信息，实现企业与市场的最佳结合；提供旅游文化表演场所和设施。</p><p style="text-align: left; text-indent: 28pt; text-autospace: ideograph-numeric; word-break: break-all;">C.旅游咨询服务中心：为旅游者提供详细的旅游咨询服务，推介旅游线路，介绍景区、景点；受理旅游投诉，维护旅游者、旅游企业的合法权益。</p><p style="text-align: left; text-indent: 28pt; text-autospace: ideograph-numeric; word-break: break-all;">D.旅游信息中心：设立票务中心、旅游信息中心。票务中心引进国际先进的、标准化的销售软硬件系统，建立覆盖主城广大社区的销售网络，联网销售微机票，为游客和市民提供方便快捷的服务。</p><p style="margin: 1em 0px; text-indent: 28.1pt; text-autospace: ideograph-numeric;"><strong>2.</strong><strong>项目招标范围</strong></p><p style="text-align: left; text-indent: 28pt; text-autospace: ideograph-numeric; word-break: break-all;">屏南县旅游集散中心的运营、维护管理、开发及移交。</p><p style="margin: 1em 0px; text-indent: 28.1pt; text-autospace: ideograph-numeric;"><strong>3.</strong><strong>PPP合作方式</strong></p><p style="text-indent: 23.5pt; text-autospace: ideograph-numeric;">（1）屏南县人民政府授权屏南白水洋鸳鸯溪风景名胜区管理委员会作为本项目的项目实施机构和招标人。</p><p style="text-indent: 27.4pt; text-autospace: ideograph-numeric;">（2）项目实施机构通过公开方式选择社会资本方，中标社会资本方可根据相关约定组建项目公司。是否成立项目公司由社会资本方自行确定，若不成立项目公司，则由中标社会资本方承担项目公司全部责任。</p><p style="text-indent: 27.4pt; text-autospace: ideograph-numeric;">（3）项目公司组建与注册资本</p><p style="text-indent: 27.4pt; text-autospace: ideograph-numeric;">①中标社会资本方按《中华人民共和国公司法》设立项目公司的组织结构。</p><p style="text-indent: 27.4pt; text-autospace: ideograph-numeric;">②本项目要求项目公司注册资本为1000万元人民币，由社会资本方通过认缴的方式确认注册资本。社会资本方股权比例为100%。</p><p style="text-indent: 27.4pt; text-autospace: ideograph-numeric;">③项目公司的组织形式为有限责任公司。项目公司经营范围为负责本项目范围内项目的运营、维护和开发工作。经营期限为除特许经营协议约定的提前终止或延期外，自签定特许经营协议之日起至项目公司经营期届满。</p><p style="text-indent: 27.4pt; text-autospace: ideograph-numeric;">（4）合同协议的签订</p><p style="text-indent: 27.4pt; text-autospace: ideograph-numeric;">①成立项目公司的由屏南白水洋鸳鸯溪风景名胜区管理委员会和中标社会资本方共同签署《福建省宁德市屏南县旅游集散中心PPP项目投资合作协议》（以下简称“《投资合作协议》），以约定中标社会资本方按要求的时间、股权比例等成立项目公司等事项。</p><p style="text-indent: 27.4pt; text-autospace: ideograph-numeric;">②根据《投资合作协议》的约定，中标社会资本方成立项目公司。</p><p style="text-indent: 27.4pt; text-autospace: ideograph-numeric;">③在项目公司成立后，由屏南白水洋鸳鸯溪风景名胜区管理委员会与项目公司签订《福建省宁德市屏南县旅游集散中心PPP项目特许经营协议》（以下简称“《特许经营协议》”），授予项目公司运营权，由项目公司具体负责项目的运营、维护、开发、移交和协议中约定的有关内容并承担相应的费用和风险，项目特许经营期结束后，将项目公司所属资产无偿移交给实施机构或其指定机构。</p><p style="text-indent: 27.4pt; text-autospace: ideograph-numeric;">④由项目公司负责本项目运营、维护和开发，实施机构根据绩效考核办法和标准对项目公司进行绩效考核，绩效考核结果与项目公司的特许经营期相挂钩。</p><p style="text-indent: 28pt; text-autospace: ideograph-numeric;">⑤若不成立项目公司的则只需由屏南白水洋鸳鸯溪风景名胜区管理委员会与中标社会资本分签订《福建省宁德市屏南县旅游集散中心PPP项目特许经营协议》（以下简称“《特许经营协议》”），由中标社会资本方承担项目公司全部责任。</p><p style="text-indent: 28pt; text-autospace: ideograph-numeric;">（5）特许经营期（即项目合作期，下同）</p><p style="text-indent: 28pt; text-autospace: ideograph-numeric;">本项目特许经营期限最高不得超过20年。特许经营期从《特许经营协议》签订之日起算，具体以中标年限为准（协议约定提前终止或延迟除外），包含接收/移交验收期和运营期。接收/移交验收期从项目特许经营协议签订之日起至接收/移交验收通过为止。根据项目实际情况对项目设施（备）的接收/移交时间进行控制，若因非社会资本方原因导致接收/移交验收时间发生延长的，则本项目运营期相应延长，即项目特许经营期相应延长，若因社会资本方原因导致接收/移交验收时间发生延长的，则不因此延长运营期，即项目特许经营期保持不变。</p><ul> <li style="text-autospace: ideograph-numeric;"><strong>投标人资格要求</strong></li></ul><p style="text-indent: 28pt;
